Welcome to Zedify Digital. These Terms of Service (“Terms”) govern your access to and use of our website, our professional digital services, and our software-as-a-service (SaaS) products (collectively, the “Services”). By accessing our website or engaging our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, signing a project proposal, or using our SaaS platforms, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind that entity.

2. Description of Services

Zedify Digital provides a comprehensive suite of digital solutions, including but not limited to:

  • Professional Services: Custom WordPress website design, UI/UX design, Search Engine Optimization (SEO), and AI-driven digital marketing strategies.
  • SaaS Products: Proprietary software tools, dashboards, and cloud-based platforms provided on a subscription basis.
  • AI Integration: Use of Artificial Intelligence to enhance performance and data-driven outcomes for clients.

3. User Responsibilities

To ensure project success and platform security, you agree to:

  • Provide accurate and complete information during onboarding.
  • Maintain the confidentiality of your SaaS account credentials.
  • Provide timely feedback and approvals for service-based projects.
  • Refrain from using our Services for any illegal, infringing, or unauthorized purposes.

4. Intellectual Property

  • SaaS Platform: Zedify Digital retains all rights, title, and interest in our SaaS products, including code, algorithms, and interface design.
  • Client Projects: Upon full payment, the ownership of custom website designs and specific deliverables created for you is transferred to the Client. However, Zedify Digital retains ownership of pre-existing tools, libraries, or underlying code used across multiple projects.
  • Marketing: Unless otherwise agreed in writing, you grant Zedify Digital the right to feature completed projects in our portfolio and marketing materials.

5. Payment Terms, Billing, and Refunds

  • Service Projects: Typically require a 50% upfront deposit, with the remaining balance due upon milestone completion or project launch.
  • SaaS Subscriptions: Billed in advance on a monthly or annual basis. Subscriptions automatically renew unless canceled at least 7 days before the renewal date.
  • Late Payments: We reserve the right to suspend Services or SaaS access if invoices are overdue by more than 15 days.
  • Refunds: Due to the bespoke nature of digital services and the immediate access provided by SaaS products, all payments are generally non-refundable unless otherwise specified in a signed agreement.

6. Confidentiality

Both parties agree to protect and keep confidential any non-public information shared during the course of the business relationship. This includes trade secrets, client lists, and technical data. This obligation survives the termination of these Terms.

7. Limitation of Liability

Zedify Digital provides Services on an “as-is” and “as-available” basis. To the maximum extent permitted by law:

  • We do not guarantee specific search engine rankings or revenue outcomes.
  • We are not liable for indirect, incidental, or consequential damages (including loss of data or profits).
  • Our total liability for any claim shall not exceed the amount paid by you to Zedify Digital during the 6 months preceding the claim.

8. Termination

  • By You: You may terminate your SaaS subscription via your account dashboard or end a service contract according to the terms of your specific project proposal.
  • By Us: We reserve the right to terminate or suspend your access immediately for any breach of these Terms, non-payment, or conduct that we deem harmful to our platform or reputation.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes arising from these Terms or the use of our Services shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

10. Changes to Terms

Zedify Digital reserves the right to update these Terms at any time. We will notify users of significant changes via email or a prominent notice on our website. Continued use of the Services after such changes constitutes acceptance of the new Terms.
